1. Acceptance of Terms

By accessing and using Udaan Muzic services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

2. Services Provided

Udaan Muzic provides music distribution services including but not limited to:

• Distribution of music to digital streaming platforms
• Royalty collection and distribution
• Music promotion and marketing services
• Artist profile management

3. User Responsibilities

3.1 Content Ownership

You represent and warrant that:

• You own all rights to the music content you upload
• Your content does not infringe any third-party rights
• You have obtained all necessary licenses and permissions
• Your content complies with all applicable laws

3.2 Prohibited Content

You must not upload content that:

• Contains hate speech, discrimination, or violence
• Is pornographic or sexually explicit
• Promotes illegal activities
• Infringes intellectual property rights
• Contains misleading or false information

4. Royalties and Payments

4.1 Royalty Distribution

Udaan Muzic will collect royalties from streaming platforms and distribute them according to the following terms:

• Royalties are distributed monthly, 60 days after the reporting period
• Minimum payout threshold: ₹500 (Indian Rupees)
• Udaan Muzic retains a commission of 15% of collected royalties
• Payment methods: Bank transfer, UPI, PayPal

4.2 Payment Disputes

Any disputes regarding royalty payments must be raised within 30 days of payment notification.

5. Intellectual Property

5.1 Your Rights

You retain all ownership rights to your music content. Udaan Muzic only receives a non-exclusive license to distribute your content as per these terms.

5.2 Udaan Muzic Rights

Udaan Muzic retains all rights to its platform, software, branding, and intellectual property.

6. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination:

• Your music will be removed from distribution platforms
• You will receive all outstanding royalties
• Your account will be deactivated

7. Liability and Indemnification

7.1 Limitation of Liability

Udaan Muzic is not liable for:

• Service interruptions or technical issues
• Loss of data or content
• Third-party platform decisions regarding your content
• Changes in streaming platform policies

7.2 Indemnification

You agree to indemnify and hold harmless Udaan Muzic from any claims arising from your content or violation of these terms.

8. Dispute Resolution

Any disputes arising from these terms shall be resolved through arbitration in Mumbai, India, in accordance with Indian law.

9. Changes to Terms

Udaan Muzic reserves the right to modify these terms at any time. Users will be notified of significant changes via email.
